These Terms and Conditions ("Terms") govern your access to and use of the website located at https://www.xgd.com.hk and any sub-domains, mobile-optimised versions and successor sites (collectively, the "Website"), which are operated by XGD Media Limited, a company incorporated in the Hong Kong Special Administrative Region ("XGD Media", "we", "us" or "our").
By accessing, browsing or otherwise using the Website, you agree to be legally bound by these Terms, together with our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Website.
These Terms govern your use of the Website only. The commercial supply of advertising services, the booking of advertising space (including outdoor billboards and the ChargeSPOT digital network), creative services and landlord arrangements are governed by separate written agreements, insertion orders or quotations entered into between you and XGD Media. In the event of any conflict between such separate agreements and these Terms in respect of those services, the separate agreement shall prevail.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Website on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" include that organisation.
Subject to your continuing compliance with these Terms, XGD Media grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for your personal, non-commercial information purposes and to evaluate or procure our Services.

Nothing on the Website should be construed as granting, by implication, estoppel or otherwise, any licence or right to use any such trade mark without the prior written consent of XGD Media or the applicable rights holder.
You may download or print individual pages of the Website solely for your personal, internal reference, provided that you do not remove or alter any copyright, trade-mark or other proprietary notices. Any other use — including any republication, public display, redistribution or use in any commercial proposal, pitch deck or marketing material — requires our prior written consent.
If you submit any enquiry, feedback, suggestion, brief, creative concept, application or other material to us through the Website or by other means (each, a "Submission"), you grant XGD Media a worldwide, perpetual, irrevocable, royalty-free, sub-licensable and transferable licence to use, store, reproduce, adapt and process the Submission for the purpose of responding to your enquiry, providing Services, and improving our Website and Services, subject always to our Privacy Policy.
You represent and warrant that you own or have all necessary rights in your Submissions and that they do not infringe any third-party right, are not defamatory, obscene, misleading or unlawful, and do not contain any virus or malicious code.
Unless we have agreed otherwise in writing, we are under no obligation of confidentiality with respect to Submissions (other than Personal Data, which we handle in accordance with the Privacy Policy), and we may use ideas, concepts, know-how or techniques contained in Submissions for any purpose, without compensation to you.
The Website may contain hyperlinks to, and integrations with, third-party websites, applications, plug-ins or services that are not owned, operated or controlled by XGD Media ("Third-Party Services"), including but not limited to social-media platforms (such as Facebook, Instagram, LinkedIn, Vimeo and Bilibili), mapping services, messaging services (such as WhatsApp), analytics providers and content-delivery networks.
We provide such links and integrations solely for your convenience. We do not endorse, monitor or assume responsibility for any Third-Party Services, including their content, privacy practices or terms of use. Without limiting the foregoing, we do not warrant that: (a) the Website will be uninterrupted, secure or error-free; (b) any defects will be corrected; (c) the Website or the servers that make it available are free from viruses or other harmful components; or (d) any information, statistic, case study, location indication or audience figure published on the Website is accurate, current or complete. You should not rely on any such information without independent verification.
Any rates, audience figures, formats, specifications or location availability shown on the Website are indicative only and do not constitute an offer capable of acceptance. Bookings of advertising space are subject to a separate written agreement and remain available subject to confirmation by XGD Media.
Nothing in these Terms shall exclude or limit any liability that cannot lawfully be excluded or limited under Hong Kong law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Subject to the paragraph above, to the maximum extent permitted by law:
You agree to indemnify, defend and hold harmless XGD Media and its directors, officers, employees, agents, contractors and affiliates from and against any and all claims, demands, actions, liabilities, losses, damages, costs and expenses (including reasonable legal fees on a full-indemnity basis) arising out of or in connection with: (a) your breach of these Terms; (b) your access to or use of the Website; (c) your violation of any law or any third-party right; or (d) any Submission made by you.
Our collection and use of Personal Data through the Website is described in our Privacy Policy, which forms part of these Terms. By using the Website you acknowledge that you have read and understood the Privacy Policy.
By submitting any contact form, enquiry form, quote request, landlord registration, careers application or other form on the Website (each, a "Submission Form"), or by otherwise sending us your contact details, you acknowledge and agree that you are providing your contact details to us voluntarily, and that we may use them to: (a) respond to your enquiry, request or application and otherwise communicate with you in connection with it; and (b) subject to Part VIA of the Personal Data (Privacy) Ordinance (Cap. 486) and our Privacy Policy, send you direct-marketing communications, including newsletters, case studies, event invitations and information about our products and services that we reasonably believe may be of interest to you. You may opt out of receiving marketing communications at any time, free of charge, as described in our Privacy Policy.

We may suspend or terminate your access to the Website at any time, with or without cause and with or without notice, including if we believe (in our sole discretion) that you have breached these Terms. Suspension or termination shall not limit any other rights or remedies available to XGD Media. Sections 5, 6, 8, 9, 10, 15, 16, 17 and 18 shall survive termination.
XGD Media shall not be liable for any failure or delay in the performance of its obligations under these Terms that results from any event or circumstance beyond its reasonable control, including acts of God, war, terrorism, civil unrest, epidemics or pandemics, government actions, labour disputes, power or telecommunications failures, internet outages, or denial-of-service attacks.
These Terms, together with the Privacy Policy and any separate written agreement between you and XGD Media in respect of Services, constitute the entire agreement between the parties in relation to your use of the Website and supersede all prior agreements, representations and understandings, whether written or oral.
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
No failure or delay by XGD Media in exercising any right or remedy under these Terms shall operate as a waiver of that or any other right or remedy.
You may not assign, transfer or sub-contract any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms to any third party at any time, including in connection with a merger, acquisition, reorganisation or sale of all or substantially all of our assets.
A person who is not a party to these Terms shall have no rights under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce any term of these Terms.
These Terms are issued in English. We may provide translations into Chinese (Traditional or Simplified) for convenience only. In the event of any inconsistency or conflict between the English version and any translation, the English version shall prevail.
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
You irrevocably agree that the courts of the Hong Kong Special Administrative Region shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms, the Website or its subject matter. Nothing in this clause limits our right to bring proceedings against you for breach of these Terms in your country of residence or any other relevant country.
